1. Agreement to Terms

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and Flarex Pty Ltd (“we”, “us”, “our”), the operator of StackSmart (available at stacksmart.app).

By accessing or using StackSmart, you agree to be bound by these Terms. If you do not agree, do not use the service.

2. Service Description

StackSmart is an AI-powered SaaS spend audit tool that analyses your subscription data to identify potential cost savings and optimisation opportunities. We offer:

• One-Time Audit ($49): A single, comprehensive audit report based on your uploaded billing data.
• Starter Plan ($29/month): Ongoing access to audit tools and monthly reports.
• Growth Plan ($79/month): Full access including advanced features, team reporting, and priority support.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

3. Acceptable Use

You agree to use StackSmart only for lawful purposes. You must not:

• Upload data you do not have the right to share or that belongs to others without authorisation.
• Attempt to gain unauthorised access to any part of the service or its infrastructure.
• Reverse engineer, decompile, or attempt to extract the source code of the service.
• Use the service to transmit malware, spam, or harmful content.
• Resell or sublicense access to the service without our written consent.
• Use automated scripts to scrape or extract data from the service.
• Misrepresent your identity or affiliation when using the service.

Violation of these terms may result in immediate termination of your account without refund.

4. Payment Terms

All payments are processed securely by Stripe, Inc. By providing payment details, you authorise us to charge your payment method for the selected plan.

• One-Time Audit: Payment of $49 AUD is charged at the time of purchase. See our Refund Policy for eligibility details.
• Subscriptions: Monthly plans are billed in advance on a recurring basis. You may cancel at any time; access continues until the end of the current billing period. No partial refunds are issued for unused time.
• All prices are in Australian Dollars (AUD) and include GST where applicable.
• We reserve the right to change pricing with 30 days' advance notice to existing subscribers.

5. Not Financial Advice

StackSmart provides recommendations and analysis for informational purposes only. Nothing in our reports or service constitutes financial, accounting, tax, or legal advice. You should consult qualified professionals before making any financial decisions based on our output.

Our recommendations are based on the data you provide. We make no guarantee that following our recommendations will result in any specific cost savings or business outcomes.

6. Limitation of Liability

To the maximum extent permitted by law, Flarex Pty Ltd and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use StackSmart, including but not limited to loss of profits, data, or business opportunities.

Our total liability to you for any claim arising out of or related to these Terms or the service shall not exceed the amount you paid to us in the 12 months preceding the claim.

Nothing in these Terms limits liability for fraud, personal injury caused by negligence, or any liability that cannot be excluded by law.

7. Intellectual Property

All content, features, functionality, trademarks, and technology on StackSmart — including the AI models, report templates, and user interface — are the exclusive property of Flarex Pty Ltd and are protected by applicable intellectual property laws.

You retain ownership of any data you upload to StackSmart. By uploading data, you grant us a limited, non-exclusive licence to process that data solely for the purpose of providing the service to you.

You may not copy, reproduce, distribute, or create derivative works from any part of StackSmart without our prior written consent.

8. Privacy

Your use of StackSmart is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Termination

We may suspend or terminate your account at any time if you breach these Terms. You may cancel your account at any time via your account settings or by contacting us. Upon termination, your right to use the service ceases immediately, subject to any rights that survive termination by law.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice. Your continued use of StackSmart after the effective date of any changes constitutes your acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of Victoria, Australia, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria.
